Vantrex International – Trading Platform Terms & Conditions

These Terms & Conditions (“T&C”) govern your access to and use of Vantrex International’s website, trading platform, applications, and related services (collectively, the “Platform”). By clicking “I Agree,” registering, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by every provision below. If you do not agree with any part, you must immediately cease all use.

I. Scope, Acceptance & Amendments

1. Entire Agreement. These T&C, together with our Privacy Policy and any expressly incorporated addenda, constitute the complete and exclusive agreement between you and Vantrex International (“Vantrex,” “we,” “us,” or “our”) regarding the Platform, superseding all prior communications.
2. Electronic Consent. Your electronic acceptance—by clicking “I Agree,” checking a box, or otherwise indicating assent—carries the same legal effect as a handwritten signature.
3. Amendments. We may update these T&C at any time in our sole discretion. Revised terms will bear a new “Last Updated” date. Continued use of the Platform after posting constitutes acceptance of those changes, existing users will be notified when (T&C) is updated.

II. Definitions

1. Account. Your registered user profile and credentials on the Platform.
2. Content. All text, data, graphics, images, audio, video, software, or other materials provided by Vantrex.
3. User Content. Data, messages, or other materials you post, upload, or transmit via the Platform.
4. Third-Party Services. Any services, websites, or products not provided by Vantrex that may be accessed via or integrated with the Platform.

III. Eligibility & User Representations

1. Age & Capacity. You represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.
2. Single Account Only. You may maintain one Account. Creation of duplicate, proxy, or “sub-accounts” is strictly prohibited and will result in immediate termination of all related Accounts and forfeiture of any balances.
3. Compliance. You agree to comply with all applicable local, national, and international laws and regulations in connection with your use of the Platform.

IV. Account Creation & Security

1. Registration Information. You shall provide accurate, current, and complete registration information and promptly update it as necessary.
2. Credentials. You are solely responsible for safeguarding your username, password, API keys, and any other authentication credentials. You must notify Vantrex immediately of any unauthorized use or security breach.
3. Suspension Right. Vantrex may, in its sole discretion and without notice, suspend or restrict access to your Account if we suspect any breach of these T&C, unauthorized activity, or fraudulent conduct.

V. Risk Disclaimer

1. Inherent Uncertainties & Speculative Nature. You acknowledge that all trading activities facilitated through the Platform are subject to market volatility, speculative exposures, leveraged positions, systemic execution variances, latency, and counterparty or infrastructure anomalies. Any informational materials, performance illustrations, or analytic outputs provided by Vantrex are furnished “as-is” and for convenience only, and do not constitute any representation, warranty, or guarantee—express or implied—of profitability, preservation of invested capital, or avoidance of loss.
2. No Responsibility for Loss. Under no circumstances shall Vantrex, its officers, directors, employees, agents, affiliates, or licensors (collectively, “Vantrex Parties”) be liable or responsible for any direct, indirect, incidental, special, punitive, or consequential losses, damages, or expenses, including but not limited to partial loss, total depletion of assets, market-related drawdowns, opportunity costs, or taxation impacts arising from any trading position, order execution, or asset custody maintained or effectuated via the Platform.
3. Sole Risk Assumption. You expressly assume full and exclusive responsibility for all trading decisions, outcomes, risks, and ramifications, whether arising from market movements, liquidity constraints, network congestion, system outages, data inaccuracies, third-party integration failures, or any other cause.
4. Survival. This Risk Disclaimer survives termination or suspension of your Account and remains in perpetuity irrevocable.

VI. Fees, Billing & Refunds

1. Fee Schedule. Access to certain Platform features and investment Packages requires payment of fees as described on the Platform.
2. Payment Authorization. By registering, you authorize Vantrex (or its designated payment processor) to charge your selected payment method for all applicable fees.
3. Non-Refundable. Except as required by applicable law, all fees are strictly non-refundable. No credits or refunds will be issued for partial periods, suspensions, or terminations.
4. Taxes. You are solely responsible for any and all taxes, duties, levies, or governmental charges arising from your transactions.

VII. User Conduct & Prohibited Activities

You agree not to:

• Reverse-engineer, decompile, disassemble, or attempt to derive the Platform’s underlying source code or algorithms.
• Bypass or circumvent any usage limits, security controls, or access restrictions.
• Scrape, harvest, or otherwise extract data from the Platform.
• Facilitate money-laundering, terrorist financing, or any illicit activity.
• Infringe any third-party intellectual property, privacy, or publicity rights.
• Transmit viruses, malware, phishing attempts, or other malicious code.
• Impersonate any person or entity, including Vantrex personnel.

VIII. Intellectual Property Rights

1. Vantrex IP. All trademarks, service marks, logos, designs, text, graphics, code, and other proprietary materials on the Platform (“Vantrex IP”) are owned or licensed by Vantrex and protected by copyright, trademark, and other intellectual property laws.
2. Limited License. Subject to your compliance with these T&C, Vantrex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial purposes.
3. User Content License. By submitting User Content, you grant Vantrex a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content in connection with the Platform.

IX. Third-Party Services & Links

The Platform may integrate with or link to third-party websites, services, or data feeds. Vantrex does not endorse, warrant, or assume liability for any third-party products, services, or content; your interactions with them are at your sole risk.

X. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING (BUT NOT LIMITED TO):

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT OF THIRD-PARTY RIGHTS;
• UNINTERRUPTED ACCESS OR ERROR-FREE PERFORMANCE;
• ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT.

XI. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VANTREX INTERNATIONAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR LOSSES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU HEREBY WAIVE ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

XII. Indemnification

You agree to defend, indemnify, and hold harmless Vantrex and its officers, directors, employees, agents, and affiliates from and against any third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

1. Your breach of these T&C;
2. Your violation of any law or third-party right;
3. Your User Content; or
4. Your use of the Platform.

XIII. Privacy & Data Protection

Your personal data is processed in accordance with our Privacy Policy, which is incorporated herein by reference. You consent to the collection, use, and disclosure of your data as described therein.

XIV. Governing Law, Venue & Dispute Resolution

1. Governing Law. These Terms & Conditions and any disputes arising out of or relating to your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
2. Arbitration. Any dispute, claim, or controversy arising out of or in connection with these Terms & Conditions, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by final and binding arbitration seated in Wilmington, Delaware, United States, under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
3. Class Action Waiver. You and Vantrex waive any right to participate in class-action lawsuits, class-wide arbitration, or any consolidated legal or arbitration proceeding. You agree to resolve disputes only on an individual basis.

XV. Force Majeure

Vantrex shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, strikes, pandemics, or governmental actions.

XVI. Assignment & Transfer

You may not assign or transfer your rights or obligations under these T&C without Vantrex’s prior written consent. Vantrex may freely assign or transfer these T&C and its rights hereunder without restriction.

XVII. Severability & Waiver

1. Severability. If any provision of these T&C is held unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
2. No Waiver. No failure or delay by Vantrex in exercising any right under these T&C shall operate as a waiver of that right.

XVIII. Notices

All notices to you may be delivered via email, Platform messaging, or posting on the Platform. Such notices shall satisfy any legal requirement for written communication.

XIX. Acknowledgment

By clicking “I Agree,” registering, or using the Platform, you confirm that you have read these Terms & Conditions in their entirety, understand their legal effect, and voluntarily accept and agree to all provisions contained herein.
